QUIET TERMS AND CONDITIONS

1. DEFINITIONS

1.1 "Quiet"

"Quiet" refers to the Quiet mobile application, website, platform, services, features, communities, consultation systems, and all related technologies operated and managed by the Quiet Team.

1.2 "User"

A User is any individual who accesses, browses, registers, or uses Quiet in any manner.

1.3 "Practitioner"

A Practitioner means any verified psychiatrist, counselor, therapist, psychologist, physiotherapist, or other professional approved by Quiet to provide consultation services through the Platform.

1.4 "Vent"

Vent refers to the anonymous emotional-expression feature that allows users to share thoughts, feelings, experiences, and concerns with other users.

1.5 "Circle"

Circle refers to a user-created community or group approved by Quiet where members may interact, communicate, and participate in discussions.

2. ACCEPTANCE OF TERMS

2.1 Agreement

By accessing, downloading, registering for, or using Quiet, you agree to be legally bound by these Terms and Conditions.

2.2 Electronic Acceptance

Your continued use of Quiet constitutes electronic acceptance of these Terms and creates a legally binding agreement between you and Quiet.

2.3 Refusal of Terms

If you do not agree with any part of these Terms, you must immediately stop using the Platform.

3. ELIGIBILITY

3.1 Minimum Age

Users must be at least thirteen (13) years old to access or use Quiet.

3.2 Parent Consent

Users between 13 and 17 years of age may use Quiet only under the supervision and consent of a parent or legal guardian.

3.3 Restricted Users

Users below the age of 13 are prohibited from creating accounts or using any services offered through Quiet.

3.4 Misrepresentation

Providing false age information may result in account suspension or permanent termination.

4. USER ACCOUNTS

4.1 Registration Information

Users may be required to provide:

  • Full Name
  • Email Address
  • Mobile Number
  • Gender

4.2 Account Security

Users are responsible for maintaining the confidentiality of their account credentials and for all activities occurring through their account.

4.3 Accurate Information

Users agree to provide accurate, current, and complete information during registration and account maintenance.

4.4 Unauthorized Access

Users must immediately notify Quiet if they suspect unauthorized access to their account.

5. PRACTITIONER VERIFICATION

5.1 Verification Process

Quiet performs verification procedures before approving practitioner profiles.

5.2 Documents Required

Practitioners may be required to submit:

  • Educational Qualifications
  • Professional Licenses
  • Government Identification Documents
  • Professional Experience Information

5.3 Verified Badge

Only practitioners successfully reviewed and approved by Quiet may receive a verification badge.

5.4 Approval Rights

Quiet reserves the right to approve, reject, suspend, or remove practitioner profiles at its sole discretion.

5.5 Independent Professional Status

Practitioners are independent professionals and are not employees, agents, or representatives of Quiet.

6. CONSULTATION SERVICES

6.1 Consultation Modes

Quiet may facilitate:

  • Audio Consultations
  • Video Consultations

6.2 Consultation Fees

Consultation fees are determined by individual practitioners and displayed before booking.

6.3 Advance Payment

Users must complete payment before consultation services begin.

6.4 Consultation Duration

Consultation duration shall be determined by the practitioner.

6.5 Prescriptions

Practitioners may upload prescriptions, recommendations, treatment plans, or other documents when appropriate.

6.6 No Medical Guarantee

Quiet does not guarantee:

  • Treatment outcomes
  • Recovery
  • Improvements in mental health
  • Diagnostic accuracy

6.7 Emergency Disclaimer

Quiet is not an emergency medical service and must not be relied upon during emergencies.

7. PAYMENTS AND REFUNDS

7.1 Payment Processing

Payments may be processed through authorized third-party payment providers.

7.2 Platform Fees

Quiet may deduct applicable platform fees, payment processing charges, taxes, and other lawful deductions.

7.3 Practitioner Revenue

Practitioner earnings may be released after applicable deductions, including:

  • Platform Commission
  • Payment Processing Charges
  • Refund Adjustments
  • Applicable Taxes

7.4 Refund Eligibility

Refunds may be granted when a practitioner fails to provide the booked consultation.

7.5 Processing Deductions

Applicable processing charges may be deducted from refunded amounts.

7.6 Fraud Prevention

Quiet reserves the right to investigate suspicious refund requests.

8. VENT FEATURE

8.1 Purpose

Vent is intended solely for emotional expression and peer support.

8.2 Anonymous Identity

User names may be hidden and replaced with platform-generated identifiers.

8.3 Visibility

Vent posts may be visible to other users of the Platform.

8.4 Expiration

Vent posts may automatically expire and be removed after approximately twenty-four (24) hours.

8.5 User Responsibility

Users remain solely responsible for content they publish through Vent.

8.6 Not Therapy

Vent is not a substitute for:

  • Professional Therapy
  • Psychiatric Care
  • Medical Treatment
  • Emergency Intervention

9. PRIVATE MESSAGING

9.1 Messaging Access

Users may communicate through private peer-to-peer messaging features.

9.2 Prohibited Conduct

Users may not use messaging systems for:

  • Harassment
  • Abuse
  • Threats
  • Hate Speech
  • Sexual Exploitation
  • Fraudulent Activities

9.3 Reporting and Blocking

Users may report and block other users when necessary.

9.4 Enforcement

Quiet may investigate reported violations and take appropriate action.

10. CIRCLES (COMMUNITIES)

10.1 Creation Approval

Circle creation requires approval from the Quiet moderation team.

10.2 Paid Communities

Circle creators may establish paid communities subject to Quiet approval.

10.3 Administration

Circle administrators may manage membership, remove members, and establish community rules.

10.4 Quiet Authority

Quiet reserves the right to suspend, restrict, or remove any Circle at any time.

10.5 Revenue Sharing

Quiet may deduct platform fees from paid Circle revenue before settlement.

11. PROHIBITED CONTENT

Users may not upload, share, distribute, encourage, or promote:

11.1 Self-Harm Content

Content encouraging suicide, self-harm, or dangerous behavior.

11.2 Hate Speech

Content targeting individuals or groups based on protected characteristics.

11.3 Harassment

Bullying, intimidation, threats, or abuse.

11.4 Sexual Exploitation

Sexually exploitative, abusive, or unlawful material.

11.5 Illegal Activities

Any activity prohibited under applicable law.

Quiet may immediately remove such content and take enforcement action without prior notice.

12. SAFETY AND CRISIS POLICY

12.1 Emergency Situations

Quiet is not designed for emergency situations.

12.2 Crisis Support

Users experiencing suicidal thoughts, severe emotional distress, or crisis situations should immediately contact emergency services, a qualified healthcare provider, or an approved crisis support service.

12.3 Content Moderation

Quiet may automatically remove content associated with self-harm, suicide promotion, violence, harassment, or abuse.

12.4 User Safety

Quiet may suspend or permanently ban users whose conduct threatens platform safety.

13. REPORTING AND MODERATION

13.1 Reporting Mechanisms

Users may report:

  • Vent Posts
  • User Accounts
  • Private Messages
  • Circles (Communities)
  • Practitioner Profiles
  • Any content that violates these Terms

13.2 Moderation Authority

Quiet reserves the right to review reported content, accounts, communications, and activities to ensure compliance with these Terms and applicable laws.

13.3 Automated Moderation

Quiet may use automated systems, filters, artificial intelligence tools, keyword detection systems, and other technologies to identify harmful or prohibited content.

13.4 Human Review

Reported content may be reviewed by authorized members of the Quiet moderation team.

13.5 Content Removal

Quiet may remove content without prior notice where such content:

  • Violates these Terms
  • Creates safety concerns
  • Violates laws or regulations
  • Poses risks to users or practitioners

13.6 Immediate Enforcement

Quiet may immediately suspend accounts, remove content, or restrict access where urgent safety concerns are identified.

14. ACCOUNT SUSPENSION AND TERMINATION

14.1 Suspension Rights

Quiet may suspend or restrict any account that:

  • Violates these Terms
  • Submits false information
  • Engages in fraud
  • Abuses Platform features
  • Harasses other users
  • Creates safety risks

14.2 Permanent Termination

Repeated violations or severe misconduct may result in permanent account termination.

14.3 No Refund Obligation

Account suspension or termination may result in loss of access to Platform features without refund where permitted by law.

14.4 Appeals Process

Quiet reserves final authority regarding account restoration decisions.

15. USER GENERATED CONTENT

15.1 Ownership

Users retain ownership of content they create and publish through Quiet.

15.2 License to Quiet

By publishing content, users grant Quiet a non-exclusive, worldwide, royalty-free license to:

  • Display
  • Host
  • Store
  • Process
  • Moderate
  • Distribute

such content solely for operating and improving the Platform.

15.3 Responsibility

Users remain solely responsible for all content submitted through their accounts.

15.4 Accuracy

Quiet does not guarantee the accuracy, completeness, or reliability of user-generated content.

15.5 Removal Rights

Quiet may remove content at any time without notice.

16. INTELLECTUAL PROPERTY RIGHTS

16.1 Ownership

All intellectual property rights relating to Quiet remain the exclusive property of Quiet and its licensors.

16.2 Protected Materials

Protected materials include:

  • Software
  • Source Code
  • Designs
  • Graphics
  • Logos
  • Trademarks
  • Platform Features
  • Databases

16.3 Restrictions

Users may not:

  • Copy
  • Reproduce
  • Reverse Engineer
  • Modify
  • Distribute
  • Sell
  • License

any part of Quiet without written authorization.

16.4 Trademark Rights

"Quiet" and related branding elements are protected intellectual property.

17. THIRD-PARTY SERVICES

17.1 Third-Party Providers

Quiet may integrate third-party services to operate the Platform.

17.2 Payment Providers

Payments may be processed through third-party payment gateways.

17.3 Authentication Services

Quiet may use third-party authentication systems including Google Sign-In.

17.4 Analytics Services

Quiet may utilize analytics services to improve functionality, performance, and user experience.

17.5 Third-Party Responsibility

Quiet is not responsible for the independent practices, services, policies, or actions of third-party providers.

18. LIMITATION OF LIABILITY

18.1 Platform Role

Quiet acts solely as a technology platform facilitating interactions between users and practitioners.

18.2 No Medical Liability

Quiet shall not be responsible for:

  • Diagnoses
  • Prescriptions
  • Treatment Plans
  • Medical Advice
  • Therapy Outcomes
  • Practitioner Conduct

18.3 User Interactions

Quiet shall not be liable for disputes, disagreements, or interactions between users.

18.4 Community Activities

Quiet is not responsible for content, advice, activities, or decisions made within Circles.

18.5 Technical Issues

Quiet does not guarantee uninterrupted or error-free service.

18.6 Maximum Liability

To the maximum extent permitted by law, Quiet's total liability shall not exceed the amount paid by the user to Quiet during the twelve (12) months preceding the claim.

19. INDEMNIFICATION

19.1 User Obligation

Users agree to defend, indemnify, and hold harmless Quiet, its administrators, moderators, contractors, affiliates, and representatives from any claims, losses, liabilities, damages, costs, and expenses arising from:

  • Violation of these Terms
  • User-generated content
  • Misuse of the Platform
  • Violation of laws
  • Infringement of third-party rights

19.2 Legal Costs

This obligation includes reasonable legal fees and litigation expenses.

20. FORCE MAJEURE

20.1 Events Beyond Control

Quiet shall not be liable for delays, interruptions, or failures caused by circumstances beyond reasonable control, including:

  • Natural Disasters
  • Internet Failures
  • Government Actions
  • Cyber Attacks
  • Power Outages
  • Pandemics
  • Telecommunications Failures

20.2 Service Restoration

Quiet will make reasonable efforts to restore services when possible.

21. SERVICE AVAILABILITY

21.1 Availability Disclaimer

Quiet does not guarantee uninterrupted availability of the Platform.

21.2 Maintenance

Services may be temporarily unavailable due to:

  • Maintenance
  • Upgrades
  • Security Improvements
  • Technical Issues

21.3 Feature Changes

Quiet may modify, suspend, discontinue, or replace Platform features at any time.

22. ACCOUNT DELETION

22.1 User-Initiated Deletion

Users may request deletion of their accounts through available Platform features.

22.2 Retention of Records

Despite account deletion, Quiet may retain certain records where necessary for:

  • Legal Compliance
  • Security Purposes
  • Fraud Prevention
  • Dispute Resolution
  • Regulatory Requirements

22.3 Removal of Access

Following deletion, users may lose access to Platform services, consultations, communities, and messaging features.

23. AMENDMENTS AND MODIFICATIONS

23.1 Right to Modify

Quiet reserves the right to modify these Terms at any time.

23.2 Notification

Updated Terms may be communicated through:

23.3 Continued Use

Continued use of Quiet after modifications constitutes acceptance of revised Terms.

24. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of India.

24.2 Jurisdiction

All disputes arising from or relating to Quiet shall be subject to the exclusive jurisdiction of the competent courts located in Lucknow, Uttar Pradesh, India.

24.3 Attempted Resolution

Users agree to first attempt good-faith resolution of disputes by contacting Quiet before initiating formal legal proceedings.
